1. Introduction

These Terms of Service apply to the use of the NeuraXplore website, public content, contact forms, information pages, digital materials, demonstrations, prototype descriptions, and general services made available by NeuraXplore B.V.

By accessing or using our website, contacting us through our forms, or engaging with our publicly available materials, you agree to these Terms of Service. If you do not agree with these Terms, you should not use the website or related materials.

These Terms apply to general website use and ordinary business interaction. Specific projects, paid services, pilots, research collaborations, school implementations, healthcare-related projects, software access, or commercial agreements may be governed by separate written agreements. In case of conflict between these Terms and a specific written agreement, the specific written agreement will take precedence.

3. About NeuraXplore

NeuraXplore develops human-centred technologies and concepts at the intersection of artificial intelligence, immersive technologies, cognitive science, education, neurodiversity, rehabilitation, and human development.

Our concepts and activities may include, among others:

  • NeuroPALS;
  • MindForge;
  • AI-supported learning systems;
  • XR-supported learning, training, or rehabilitation environments;
  • adaptive learning concepts;
  • research, prototype, pilot, and demonstration projects;
  • consultancy, design, development, and innovation services;
  • related educational, healthcare, research, and technology collaborations.

Some concepts, features, or product descriptions on our website may refer to systems that are in research, design, prototype, pilot, or development phase.

4. Use of the website

The NeuraXplore website is provided for general information, communication, and business development purposes.

You may use the website only for lawful purposes and in accordance with these Terms.

You may not use the website:

  • for unlawful, misleading, harmful, or fraudulent purposes;
  • to interfere with website security, availability, or functionality;
  • to attempt unauthorised access to systems, servers, accounts, source code, data, or infrastructure;
  • to upload, transmit, or introduce malicious code, malware, scripts, or automated abuse;
  • to scrape, copy, crawl, harvest, or systematically extract content or data without permission;
  • to misuse contact forms, submit spam, or perform automated form submissions;
  • to impersonate NeuraXplore or misrepresent an affiliation with NeuraXplore;
  • to infringe intellectual property rights or other third-party rights;
  • to submit unlawful, confidential, sensitive, or third-party data without proper authority;
  • to use the website in a way that may damage NeuraXplore, its users, partners, systems, or reputation.

We may restrict, block, suspend, or investigate access where we reasonably believe that the website is being misused, attacked, abused, or accessed in breach of these Terms.

5. Informational nature of website content

The content on the NeuraXplore website is provided for general informational purposes only.

Although we aim to keep information accurate and up to date, we do not guarantee that all website content is complete, current, error-free, suitable for a specific purpose, or available at all times.

Descriptions of future features, expected capabilities, technical architecture, AI functionality, XR functionality, adaptive learning, rehabilitation support, compliance measures, or possible use cases are provided as project information and development direction.

Such descriptions should not be interpreted as a guarantee that:

  • a specific feature will be developed;
  • a product will be commercially released;
  • a system will receive regulatory approval or certification;
  • a pilot will produce a specific result;
  • a clinical, educational, or learning outcome will be achieved;
  • a specific technical architecture will remain unchanged;
  • a collaboration, investment, or partnership will proceed.

NeuraXplore may modify, delay, suspend, or discontinue concepts, prototypes, demonstrations, pilots, features, or public descriptions at any time, unless otherwise agreed in a separate written agreement.

7. No autonomous educational or clinical decision-making

NeuraXplore systems are intended to support human professionals, not replace them.

Unless explicitly agreed otherwise in a separate written agreement, NeuraXplore systems are not intended to:

  • diagnose medical, psychological, neurological, developmental, or learning-related conditions;
  • provide medical treatment;
  • replace therapists, clinicians, teachers, mentors, coaches, or other professionals;
  • make autonomous educational, clinical, legal, medical, or similarly significant decisions;
  • determine access to care, education, benefits, funding, support, or essential services;
  • provide emergency, crisis, or acute care support.

Teachers, mentors, therapists, clinicians, schools, healthcare providers, rehabilitation professionals, researchers, and other authorised professionals remain responsible for professional judgement, interpretation, supervision, and final decisions.

8. AI-generated outputs

Where NeuraXplore provides or demonstrates AI-supported functionality, outputs may be probabilistic, incomplete, incorrect, outdated, biased, or context-dependent.

AI-generated outputs should be reviewed by qualified human users before being relied upon. They should be treated as support material, not as final professional judgement.

NeuraXplore does not guarantee that AI-generated outputs will be accurate, complete, unbiased, safe, suitable, lawful, or appropriate for every individual, organisation, or situation.

You are responsible for independently reviewing, validating, and deciding whether any AI-supported output is appropriate for your intended use.

9. User responsibilities

You are responsible for:

  • using the website and services lawfully;
  • providing accurate and non-misleading information when contacting us;
  • not submitting unnecessary sensitive personal data through general contact forms;
  • not submitting children's data, patient data, health data, biometric data, or confidential third-party data through general website forms unless specifically requested as part of a defined project process;
  • obtaining appropriate permission before sharing information about another person or organisation;
  • maintaining the confidentiality of any access credentials provided to you;
  • ensuring that your use of NeuraXplore materials complies with applicable laws, internal policies, and professional obligations;
  • reviewing project-specific terms, privacy notices, consent forms, and agreements before participating in pilots, demonstrations, research, or implementations.

10. Contact forms and submitted information

When you submit information through a contact form, you confirm that the information is accurate to the best of your knowledge and that you are authorised to submit it.

You should not use contact forms to submit:

  • unlawful content;
  • spam or automated messages;
  • confidential information that has not been requested;
  • sensitive personal data that is not necessary;
  • children's data;
  • patient data;
  • health-related data;
  • biometric data;
  • trade secrets or third-party confidential information without permission.

Submitting a contact form does not create a client relationship, partnership, investment relationship, confidentiality obligation, or binding agreement unless separately agreed in writing.

11. Accounts and restricted environments

If NeuraXplore provides access to an account, dashboard, prototype environment, pilot environment, software environment, test environment, or restricted system, additional terms may apply.

You must keep any login details confidential and must not share access with unauthorised persons.

You are responsible for activity under your account unless the activity results from a security failure for which NeuraXplore is legally responsible.

NeuraXplore may suspend or terminate access where necessary for security, misuse, legal compliance, project management, breach of terms, or protection of users, partners, systems, or data.

12. Intellectual property

All intellectual property rights in the NeuraXplore website, content, designs, concepts, software, prototypes, visuals, names, trademarks, logos, documentation, text, graphics, architecture, AI workflows, UX concepts, learning concepts, rehabilitation concepts, and related materials belong to NeuraXplore or its licensors, unless stated otherwise.

This includes, without limitation:

  • the NeuraXplore name and branding;
  • NeuroPALS;
  • MindForge;
  • product and project names;
  • website content;
  • visual designs and icons;
  • software concepts;
  • system architecture;
  • workflows;
  • diagrams;
  • written materials;
  • presentations;
  • prototype descriptions;
  • AI/XR concepts;
  • research and development materials.

You may view website content for personal, professional, or internal business evaluation purposes.

You may not, without prior written permission:

  • copy, reproduce, modify, distribute, publish, or commercially exploit NeuraXplore content;
  • reverse engineer, decompile, disassemble, or attempt to extract source code from software or prototypes;
  • copy product concepts, user interface designs, workflows, technical architecture, or product strategy;
  • remove copyright, trademark, or ownership notices;
  • use NeuraXplore names, logos, or branding in a misleading way;
  • create derivative products or services based substantially on NeuraXplore protected materials;
  • use NeuraXplore materials to train, benchmark, or develop competing AI systems without permission.

Nothing in these Terms transfers intellectual property rights to you.

13. Feedback, ideas, and suggestions

If you provide feedback, suggestions, ideas, improvements, feature requests, comments, or other input to NeuraXplore, we may use that input to improve our products, services, concepts, or business.

Unless separately agreed in writing, you provide such input without any obligation for NeuraXplore to compensate you, credit you, or treat the input as confidential.

You confirm that you have the right to provide such feedback and that it does not infringe the rights of others.

14. Confidentiality

General website use and contact form submissions do not automatically create a confidentiality obligation.

If confidential information must be exchanged in relation to proposals, partnerships, pilots, research projects, investment discussions, or commercial negotiations, the parties may enter into a separate non-disclosure agreement or confidentiality agreement.

Unless a separate written confidentiality agreement applies, you should not submit confidential, commercially sensitive, proprietary, or secret information through the general website.

15. Third-party services and links

The NeuraXplore website may contain links to third-party websites, platforms, tools, services, articles, resources, or partner websites.

NeuraXplore is not responsible for the content, availability, accuracy, security, privacy practices, or terms of third-party services.

Use of third-party services is at your own risk and may be subject to separate terms and policies.

16. Privacy and cookies

Personal data is processed according to our Privacy Policy and Cookie Policy.

The NeuraXplore website currently uses only essential cookies and local preferences for basic website functionality, security, language preferences, theme preferences, and cookie notice preferences.

We do not use advertising cookies, tracking cookies, behavioural profiling cookies, social media tracking pixels, or third-party marketing cookies on our website.

17. Compliance and regulatory positioning

NeuraXplore aims to design its systems with privacy-by-design, security-by-design, human oversight, responsible AI, and relevant EU regulatory obligations in mind.

Public statements about GDPR, EU AI Act readiness, privacy, security, human-in-the-loop design, or responsible AI are intended to describe our design direction and compliance approach. They should not be interpreted as a guarantee that a specific product, prototype, or system has received certification, regulatory approval, clinical validation, or formal conformity assessment unless expressly stated in writing.

Where a project, product, or AI system falls within a specific legal or regulatory framework, NeuraXplore will assess the applicable requirements and apply appropriate safeguards before deployment.

18. Availability and changes

We aim to keep the website available and functional, but we do not guarantee uninterrupted, error-free, secure, or continuous access.

We may update, change, suspend, remove, or discontinue parts of the website, content, prototypes, demonstrations, or services at any time.

We may also update these Terms of Service. The latest version will be published on the website. Continued use of the website after updates means that you accept the updated Terms.

19. Disclaimer of warranties

The website, public content, and general information are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, NeuraXplore makes no warranties, representations, or guarantees that:

  • the website will always be available;
  • the website will be error-free, secure, or uninterrupted;
  • content will always be accurate, complete, or up to date;
  • prototypes or concepts will achieve specific outcomes;
  • AI-supported outputs will be correct, complete, unbiased, lawful, or suitable;
  • any product or service will meet your specific requirements unless agreed in writing;
  • any concept will become a commercial product;
  • any regulatory certification or approval will be obtained;
  • any pilot, project, or collaboration will proceed.

20. Limitation of liability

To the maximum extent permitted by law, NeuraXplore is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, loss of business, loss of data, loss of goodwill, reputational damage, business interruption, or loss of opportunity arising from:

  • use of the website;
  • inability to use the website;
  • reliance on general website content;
  • use of public materials;
  • errors or omissions in website content;
  • third-party services or links;
  • unauthorised access caused by factors outside our reasonable control;
  • use of prototype, demonstration, or pilot information outside a written agreement.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law, including liability for intent, deliberate recklessness, or other liability that cannot legally be limited.

For paid services, pilots, implementations, research collaborations, software access, or commercial projects, liability may be further defined in a separate written agreement.

21. Indemnity

You agree to indemnify and hold NeuraXplore harmless from claims, damages, losses, liabilities, costs, and expenses arising from:

  • unlawful use of the website or services;
  • breach of these Terms;
  • infringement of third-party rights;
  • submission of unlawful, confidential, sensitive, or third-party data without proper authority;
  • misuse of NeuraXplore content, prototypes, systems, or materials;
  • unauthorised access to restricted environments using your credentials;
  • reliance on website content in a manner inconsistent with these Terms.

22. Force majeure

NeuraXplore is not responsible for delay, failure, interruption, or non-performance caused by circumstances beyond reasonable control.

Such circumstances may include technical failures, internet outages, cyber incidents, power outages, hosting failures, supplier failures, natural disasters, war, terrorism, strikes, government measures, legal restrictions, pandemics, or other force majeure events.

23. Termination or restriction of access

We may restrict, suspend, or terminate access to the website, restricted environments, prototypes, or services where we reasonably believe this is necessary for:

  • security;
  • abuse prevention;
  • legal compliance;
  • breach of these Terms;
  • protection of personal data;
  • protection of intellectual property;
  • project management;

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect.

The invalid or unenforceable provision will be replaced, where possible, by a valid provision that most closely reflects the original purpose.

25. No waiver

If NeuraXplore does not enforce a provision of these Terms immediately, this does not mean that we waive the right to enforce that provision later.

26. Governing law and jurisdiction

These Terms of Service are governed by the laws of the Netherlands.

Unless mandatory law provides otherwise, disputes relating to these Terms, the website, or general services will be submitted to the competent court in the Netherlands.
